As the organisation moves into our next stage of growth we’re looking to widen and strength our board by bringing on four new trustees and a new chair.

We’re looking for someone to take up the lead on the board and help lead the organisation in the next phase of ProjectChange’s journey. The Chair has a key role in helping us deliver our new strategy.

We’re looking for people who want to make an impact on the care community—growing the size of our board to help us best support the work of the organisation and develop the skills of the board.

About Us

ProjectChange was founded in February 2020 by a group of people who had either lived or worked in the care system in Scotland. They were keen after the publication of the Independent Care Review that care experienced people across Scotland were able to unleash their own potential, develop their own voice and decide how this new world of change could impact them.

Thus our mission was born, to give care experienced people the tools they need to succeed and to make the wider sector more accountable to our community and to our needs.

As a charity with lived experience of care at its heart, we are looking for people who share our enthusiasm and determination to work alongside the community. Becoming vocal supporters of the community, and supporting the work of ProjectChange to build, create and develop new opportunities, resources, and tools.

A key focus of the work of ProjectChange is helping the sector, care organisations and wider society Keep the Promise by teaching and supporting them to work alongside care experienced people in a compassionate and empowering way.

Chair of the Board

The Chair leads the board, ensuring that it governs the charity effectively, in service of the charity’s vision and mission. The Chair leads in an inclusive way, supporting the board to work together well, and providing support and challenge to the Chief Executive. The Chair is also an ambassador for the charity.

Our trustees play a vital role in making sure that ProjectChange achieves its core purpose. They oversee the overall management and administration of the charity. They also ensure that ProjectChange has a clear strategy and that our work and goals are in line with our vision. 

  • Experience of being a trustee. You do not need to have been a Chair before.
  • A keen sense of strategic purpose.
  • An inclusive leadership style: able to inspire and support everyone to participate on an equal footing.
  • The ability to listen and engage effectively. You are comfortable with challenge and debate and are able to encourage that in others whilst fostering a collaborative board environment.
  • Advocate – be able and willing to champion ProjectChange’s work through personal networks, social media, and other channels.
  • A strong personal commitment to equity, diversity, and inclusion.
 

As a small charity, things sometimes ‘come up’ that require the Chair to advise, support or give consent to. It is very helpful to have a Chair who is available and responsive.

  • Provide strategic leadership to the charity and the Board, ensuring that ProjectChange achieves its mission.
  • Work in partnership with the Chief Executive and team to achieve our mission.
  • Lead the board in ensuring that it fulfils its responsibilities for the governance of the organisation.
  • Optimise the relationship between the board and ProjectChange’s staff and volunteers.
  • Plan and chair the board meetings and the AGM, with others as appropriate.
  • Act as a spokesperson and figurehead for ProjectChange.
  • Support and provide advice on ProjectChange’s purpose, vision, goals and activities.
  • Approve operational strategies and policies, and monitor and evaluate their implementation.
  • Oversee ProjectChange’s financial plans and budgets and monitor and evaluate progress.
  • Ensure the effective and efficient administration of the organisation.
  • Ensure that key risks are being identified, monitored, and controlled effectively.
  • Review and approve ProjectChange’s financial statements.
  • Provide support and challenge to ProjectChange’s CEO in the exercise of their delegated authority and affairs.
  • Keep abreast of changes in ProjectChange’s operating environment.
  • Contribute to regular reviews of ProjectChange’s own governance.
  • Attend Board meetings, adequately prepared to contribute to discussions.
  • Use independent judgment, acting legally and in good faith to promote and protect ProjectChange’s interests, to the exclusion of their own personal and/or any third-party interests.
  • Contribute to the broader promotion of ProjectChange’s objects, aims and reputation by applying your skills, expertise, knowledge and contacts.
  • Willingness and ability to understand and accept their responsibilities and liabilities as trustees and to act in the best interests of the organisation.
  • Ability to think creatively and strategically, exercise good, independent judgement and work effectively as a board member.
  • Effective communication skills and willingness to participate actively in discussion.
  • A strong personal commitment to equity, diversity and inclusion.

  • We are looking for people willing to bring energy, enthusiasm, and commitment to the role, and who will broaden the diversity of thinking on our board.

 

You do not need previous governance experience – we will provide a full induction and training.

  • Support and provide advice on ProjectChange’s purpose, vision, goals and activities.
  • Approve operational strategies and policies and monitor and evaluate their implementation.
  • Oversee ProjectChange’s financial plans and budgets and monitor and evaluate progress.
  • Ensure the effective and efficient administration of the organisation.
  • Ensure that key risks are being identified, monitored, and controlled effectively.
  • Review and approve ProjectChange’s financial statements.
  • Provide support and challenge to ProjectChange’s CEO in the exercise of their delegated authority and affairs.
  • Keep abreast of changes in ProjectChange’s operating environment.

This may involve scrutinising board papers, leading discussions, focusing on key issues, providing advice and guidance on new initiatives, presenting externally, or other issues in which the trustee has special expertise.

  • Willingness and ability to understand and accept their responsibilities and liabilities as trustees and to act in the best interests of the organisation.
  • Ability to think creatively and strategically, exercise good, independent judgement and work effectively as a board member.
  • Effective communication skills and willingness to participate actively in discussion.

Process for appointment

Terms of All Appointments

Time Committment

  • Attending 4 Board meetings annually. Currently meetings are held remotely but may be held in Edinburgh.
  • Membership of at least one sub-committee of the board.
  • Attending an annual strategy session.

Term of Office

  • Trustees are appointed for a 3-year term of office, renewal for 1 further term to a maximum of 6 years.
  • This is a voluntary position, but reasonable expenses will be reimbursed.
